This Agreement ('Terms') outlines your participation in the Astra AI Creator Program ('Program'). Astra AI Creator Program is a property of Astra AI d.o.o., Resljeva cesta 1, 1000 Ljubljana, Slovenia - EU, Company ID: 9614036000, VAT ID: SI83171070.
By joining, you affirm that you are 18 years or older or have obtained written permission from a parent or legal guardian, are legally eligible to work, and are able to enter into binding terms. Your continued participation signifies express consent to these Terms.
Upon acceptance into the Program, you may receive digital assets (hashtags, links, guides). These are for use solely by you in the Program.
You must create original content and not reuse Astra AI or other creators' materials, unless agreed upon otherwise on an individual basis. Do not publicly share internal resources or links. Avoid manipulative practices, including artificial view inflation and paid advertising to get more views. All content created by the Creator as part of the Program may be used, reproduced, edited, and distributed by Astra AI, in whole or in part, for marketing, promotional, and advertising purposes across any media channels, worldwide and without time limitation, including the creator's name, image, voice, and likeness as they appear in such content.
Payments are made monthly, at the start of each month, for videos posted during the previous month. Payment will only be issued for videos meeting all quality, guideline, and authenticity requirements. If a video is determined to have received paid, artificial, or non-organic views, no payment is due for the month in which the botting occurred.
Astra AI reserves the right to alter these Terms or internal processes at any time. Continued participation after changes constitutes acceptance.
By participating, you represent and warrant that you comply with all applicable laws, will not infringe on third-party rights, and will not create abusive, harassing, defamatory, or otherwise objectionable content. It is not allowed to cooperate with a direct competitor to Astra AI at the same time as you have an active partnership and are part of Astra AI Creator program.
Failure to comply with these Terms may result in immediate termination from the Program. Consequences for non-payment or forfeiture are as set out in the applicable individual agreement.
You agree to keep all internal resources, guidelines, and communications confidential during and after participation. Proprietary information excludes public knowledge or general skills.
You agree to defend Astra AI and its affiliates against any claims arising from your breach of these Terms or misconduct, including legal fees.
The creator may not represent themselves as an employee, agent, or official spokesperson of Astra AI, or make public statements on Astra AI's behalf, without written consent. This does not restrict the creator from truthfully disclosing their paid partnership with Astra AI — such disclosure is required where applicable law or platform rules mandate it.
You are an independent contractor, not an employee or agent. You are responsible for any taxes, social security, or benefits obligations.
You may not assign your rights or responsibilities without Astra AI’s written consent. Astra AI may transfer its rights to an affiliate or successor.
This Agreement is governed by Slovenian law. Disputes will be resolved in the competent courts of Slovenia, unless arbitration is mutually agreed.
Neither party will be held liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, platform bans, or government restrictions.
Astra AI’s liability is limited to the total amount paid to the creator in the past three months. Astra AI is not liable for platform algorithm changes, engagement drops, or third-party interference.
If any part of these Terms is deemed invalid, the remainder will remain effective. Failure to enforce any term does not waive that term.
These Terms, together with any individual written agreement between the creator and Astra AI d.o.o. regarding the Program, constitute the entire agreement between the parties and supersede prior discussions; in case of conflict, the individual written agreement prevails. By participating, you acknowledge that you have read, understood, and accepted these Terms.
